End-User License Agreement

This End-User License Agreement ("Agreement") governs access to and use of the Peak Distribution internal operations platform (the "Service"), provided by Peak Distribution ("we," "us," or "our"). The Service is an internal business tool used by our authorized staff and sales representatives to manage customer accounts, sales orders, dispatch, delivery, and inventory. By signing in to the Service, you ("User") agree to the terms below.

1. Authorized Use

Access to the Service is granted only to individuals authorized by Peak Distribution, such as employees and contracted sales representatives. Accounts are personal to the User and may not be shared. Administrators may suspend or revoke access at any time, with or without cause, including upon termination of the User's employment or engagement.

2. License Grant

Subject to this Agreement, we grant the User a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purpose of performing their duties on behalf of Peak Distribution. This license does not include any right to copy, reverse engineer, resell, sublicense, or create derivative works from the Service.

3. Business Data

All customer, prospect, order, inventory, and related business data entered into or generated by the Service is the property of Peak Distribution. Users may access and use this data only as necessary to perform their authorized duties, and may not export, disclose, or retain it for any purpose outside of that role. This includes information synced with QuickBooks Online, payment authorizations, and communications sent to business contacts through the Service.

5. Third-Party Integrations

The Service connects to third-party platforms, including Google, Intuit QuickBooks Online and QuickBooks Payments, Twilio, Resend, Anthropic, Google Maps, and UPS, to provide core functionality. Use of the Service constitutes acknowledgment that data will be shared with these providers as described in our Privacy Policy. Peak Distribution is not responsible for the independent acts or omissions of these third-party providers.

6. Payment Processing

Where the Service is used to collect ACH or card payment authorization from a customer, that payment method is tokenized and processed by QuickBooks Payments. Peak Distribution does not store raw bank account or card numbers. Users must obtain a customer's authorization through the Service's authorization flow before initiating any charge.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully accurate at all times.

8. Limitation of Liability

To the fullest extent permitted by law, Peak Distribution shall not be liable for any indirect, incidental, special, or consequential damages arising from use of, or inability to use, the Service.

9. Termination

This license terminates automatically upon revocation of the User's account access, or upon the User's breach of this Agreement. Sections relating to business data ownership, acceptable use obligations already accrued, and limitation of liability survive termination.

10. Changes

We may update this Agreement from time to time. Continued use of the Service after an update constitutes acceptance of the revised Agreement.
